These Terms of Service ("Terms") govern your use of the Localfile website and the Localfile desktop application (collectively, the "Service"). By downloading, installing, accessing, or using the Service, you agree to these Terms.
Who we are
"Localfile", "we", "us", and "our" refer to the Localfile team. If you have questions about these Terms, contact help.localfile@gmail.com.
Eligibility
You must be legally able to enter into a binding agreement in your jurisdiction to use the Service.
License and permitted use
When you purchase a Localfile license, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the application for your own use.
A license is intended for one person. You may activate it on multiple devices that you personally own or control.
Trial
Localfile may provide a time-limited trial. Trial availability, duration, and included features may change over time.
Purchases and delivery
If you purchase a license, payment is processed by a third-party payment processor (e.g. Stripe). After purchase, your license key is delivered by email.
If you request a resend, we will attempt to resend the license key to the original purchase email.
Refunds
Purchases are generally non-refundable once a license has been delivered, except where required by law. If you believe you were charged in error, have a duplicate charge, or the product is not working as intended, contact support at help.localfile@gmail.com and we will review your request.
Third-party services
Certain parts of the Service rely on third parties (for example, payment processing and email delivery). Your use of those services may be subject to the third party’s terms and privacy policies. We are not responsible for third-party services.
Updates and changes
We may provide updates, bug fixes, and new features. Purchases may include updates for a period of time or within a major version, but we do not guarantee any specific schedule, feature set, or ongoing availability.
Prohibited use
You agree not to:
- Share, resell, sublicense, or publicly post a license key
- Use one license to cover multiple people in an organization
- Reverse engineer, decompile, disassemble, or attempt to discover the source code except where permitted by law
- Circumvent license checks or other technical limitations
- Use the Service to violate applicable laws or third-party rights
Export compliance
You represent that you are not prohibited from receiving the Service under applicable export controls, sanctions, or other laws.
Your content and files
Localfile is designed to process files on your device. You are responsible for the files you choose to process and for ensuring you have the rights to use them.
Intellectual property
The Service, including its software, design, and branding, is owned by us and protected by intellectual property laws. These Terms do not grant you any ownership rights.
Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted, error-free, or that output files will meet your requirements. You are responsible for maintaining backups of your files.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
To the maximum extent permitted by law, you agree to indemnify and hold us harmless from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another.
Disputes
If a dispute arises, please contact us first and we will try to resolve it informally.
Termination
We may suspend or terminate your access to the Service if you violate these Terms. Upon termination, the license granted to you ends.
Changes to these Terms
We may update these Terms from time to time. If changes are material, we will take reasonable steps to communicate them (for example, by posting a notice on the website). Your continued use of the Service after changes become effective means you accept the updated Terms.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
Assignment
You may not assign these Terms or your license without our prior written consent. We may assign these Terms as part of a merger, acquisition, or sale of assets.
Entire agreement
These Terms are the entire agreement between you and us regarding the Service and supersede any prior agreements or understandings.
